1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Hydromodel LLC, a limited liability company organized under the laws of New Mexico ("Company," "we," "us," or "our"). By engaging our services or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Description

Hydromodel LLC provides professional hydraulic engineering consulting services, computational fluid dynamics (CFD) simulation and modeling, and training and education programs in civil hydraulic engineering. Our services include but are not limited to:

2.1 Hydraulic Analysis & Design

We provide comprehensive hydraulic modeling and design services for water distribution systems, drainage networks, and flood management infrastructure. Our services encompass water distribution system design, stormwater management solutions, flood risk assessment, pipeline hydraulic analysis, and pump station design. All work is performed using advanced CFD simulation tools and industry-standard software to ensure optimal performance and regulatory compliance.

2.2 CFD Simulation & Modeling

Our advanced computational fluid dynamics simulation services address complex hydraulic systems through state-of-the-art modeling software. We provide 3D flow visualization and analysis, turbulence modeling, heat transfer analysis, multiphase flow simulation, and performance optimization studies. These services enable clients to analyze flow patterns, optimize designs, and predict system behavior under various operating conditions.

2.3 Training & Education

We offer professional development programs and training courses in civil hydraulic engineering. Our comprehensive curriculum covers hydraulic engineering fundamentals, software training including HEC-RAS and EPANET, project-based learning modules, certification programs, and custom corporate training solutions. All training programs combine theoretical foundations with practical applications and hands-on experience using industry-standard software and methodologies.

3. Service Agreement and Scope

Each project engagement shall be governed by a separate Service Agreement that will specify the scope of work, deliverables, timeline, and compensation. The Service Agreement, together with these Terms, shall constitute the complete agreement between the parties for the specific project. In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to that specific project.

4. Professional Standards and Qualifications

Hydromodel LLC maintains the highest professional standards in all service delivery. Our team possesses extensive experience in hydraulic engineering and utilizes industry-leading software and methodologies. We adhere to applicable professional engineering standards, codes, and regulations. However, clients are responsible for ensuring that all work products meet their specific regulatory and operational requirements.

5. Client Responsibilities

Clients agree to provide accurate, complete, and timely information necessary for service delivery. This includes but is not limited to project specifications, site data, regulatory requirements, and access to relevant personnel and facilities. Clients are responsible for obtaining all necessary permits, approvals, and authorizations required for project implementation. Failure to provide necessary information or access may result in project delays and additional costs.

6. Compensation and Payment Terms

Compensation for services shall be as specified in the applicable Service Agreement. Unless otherwise specified, invoices are due and payable within thirty (30) days of receipt. Late payments may be subject to a service charge of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts that are more than thirty (30) days past due.

7. Intellectual Property Rights

All methodologies, software tools, templates, and proprietary processes developed by Hydromodel LLC remain our exclusive property. Work products specifically created for a client under a Service Agreement shall be owned by the client upon full payment, subject to our retained rights in underlying methodologies and tools. We retain the right to use general knowledge, skills, and experience gained during service delivery for other projects.

8. Confidentiality

We acknowledge that we may receive confidential and proprietary information from clients in the course of service delivery. We agree to maintain the confidentiality of such information and use it solely for the purpose of providing services. This obligation shall survive termination of any Service Agreement. Clients similarly agree to maintain the confidentiality of our proprietary methodologies and processes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYDROMODEL LLC'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO SERVICES PROVIDED SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

10. Professional Liability Insurance

Hydromodel LLC maintains professional liability insurance appropriate to our services. Details of coverage limits and terms are available upon request. Our insurance coverage does not constitute a guarantee of performance or limit our liability beyond the terms specified in these Terms and applicable Service Agreements.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms or any Service Agreement which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond the reasonable control of such party. The affected party shall promptly notify the other party of any such force majeure event.

12. Termination

Either party may terminate a Service Agreement upon written notice if the other party materially breaches the agreement and fails to cure such breach within thirty (30) days after written notice. Upon termination, client shall pay for all services performed through the termination date. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.

13. Governing Law and Dispute Resolution

These Terms and all Service Agreements shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or any Service Agreement shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Albuquerque, New Mexico.

14. Independent Contractor Relationship

Hydromodel LLC is an independent contractor and not an employee, partner, or joint venturer of client. Nothing in these Terms or any Service Agreement shall be construed to create an employment, partnership, or joint venture relationship. We retain the right to control the manner and means of performing services, subject to the specifications set forth in applicable Service Agreements.

15. Compliance with Laws

Both parties agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in the performance of their respective obligations. This includes but is not limited to environmental regulations, safety standards, and professional licensing requirements.

16. Modifications and Amendments

These Terms may only be modified by written agreement signed by both parties. No oral modifications shall be effective. We reserve the right to update these Terms from time to time, with notice provided through our website or direct communication to active clients.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

18. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter hereof, whether written or oral.
